Running a practice

LLC, PLLC or corporation? Choosing a structure for your CRNA practice

The right structure depends on your state's rules and your tax situation. Here's what to ask your lawyer and accountant.

What your state allows

Some states require licensed professionals to use a professional entity, like a PLLC or professional corporation. Others let you use a regular LLC. Ask a lawyer in your state.

Tax treatment

Many small practices elect S corporation tax status once income is high enough, to reduce self-employment tax. Whether it helps you depends on your numbers. Ask an accountant.

Liability

An entity protects your personal assets from business debts, but not from your own malpractice. That's what insurance is for.

Plan for growth

If you'll add partners later, set up an operating agreement now that covers buy-ins, exits and decisions.

This is general information. Talk to a lawyer and an accountant about your situation.
