The checklist
- Revenue by client for the last two to three years, plus how long each client has been with you.
- Signed contracts with every client. Check whether they can be assigned to a buyer.
- Business associate agreements with every client and vendor that touches patient information.
- Your costs: staff, software, clearinghouse, insurance and anything personal running through the business.
- How the work gets done. Write down your process for each client, the quirks of their payers, and who to call at each facility.
- Systems and logins. A list of every system, who owns the account and how access is handed over.
- Your current results. Collection rate and days in A/R for each client, if you track them.
- Any problems. Disputes, audits or unhappy clients. Buyers will find out, so it's better coming from you.
Don't tell clients yet
Keep the sale confidential until you've signed. Clients who hear early, and from someone else, are the ones most likely to leave.

- We sign an NDA before you share client names or numbers.
- Your clients hear about it from you and us together, after signing. Never before.
- Every term, including how and when you're paid, is written out in plain English before you sign.
- Your clients' fees don't go up for at least 12 months after the handover.
- If you're selling only your anesthesia accounts, we won't approach your other clients. We'll put that in writing.
- If we're not the right buyer, we'll tell you quickly and point you somewhere better if we can.
