How to sell your medical billing company

You've spent years building client relationships. Here's how a sale usually works, step by step, so you know what you're walking into.

The short version

Most small billing company sales follow the same path. You get your numbers in order, talk to a few buyers under a confidentiality agreement, agree a price and how it's paid, then spend a few months handing clients over carefully. The whole thing often takes three to nine months.

Step by step

  1. Decide what you want. A clean exit? A few more years working? A gradual step back? Your answer changes which buyers make sense.
  2. Pull your numbers together. Revenue by client for the last two or three years, your costs, your contracts and how long each client has been with you. See getting your billing company ready to sell.
  3. Talk to buyers confidentially. Sign a non-disclosure agreement before you share client names or numbers.
  4. Get an offer. It'll usually include a price, how much is paid up front, and how much depends on clients staying.
  5. Diligence. The buyer checks your contracts, numbers, HIPAA practices and systems.
  6. Sign and close. Use a lawyer who has done small business sales. It's worth the fee.
  7. Hand over clients. This is the part that decides how much of the price you actually get. See telling your clients.

What buyers care about most

Whether your clients will stay. Everything else comes second. Long relationships, signed contracts and a clean handover plan are worth more than almost anything else you can show.
